HSN CEO Mindy Grossman Took Home A $12 Million Paycheck Last Year

HSN CEO Mindy Grossman is a multi-milllion dollar woman, raking in $12.1 million in compensation last year, triple what she made in 2009.

Grossman’s compensation was reported in an HSN filing, page 37, with the Securities and Exchange Commission Monday. Her payment package included a $1.16 million base salary, $5.7 million in stock awards, a $2.1 million non-equity incentive plan bonus and $194,000 in other compensation.

The “other” compensation was $114,000 for housing, a $50,000 reimbursement to Grossman for legal fees incurred in connection with an amendment of her employment agreement, and $30,000 for a car.

Mindy, can we borrow $1 million?

Last year’s $12.1 million in compensation was a nice bump up from the $4.1 million Grossman received in 2009.

And it appears that in 2010 Grossman did better than Greg Maffei, who is president and CEO QVC’s parent, Liberty Media Corp. Maffei received $6.4 million in total compensation last year, with a $1.5 million base salary, according to a filing Liberty made with the SEC Monday.

One of Maffei’s performance objectives was “increased focus by QVC on international and Internet expansion.”

Back over at HSN, the rest of Grossman’s management did pretty well.

Chief financial officer Judy Schmeling’s 2010 compensation was $1.9 million, up from $1.4 million in 2009. Her base salary last year was $562,000.

Lynne Ronon, HSN’s executive vice president of merchandising, received $1.3 milllion in 2010 compensation, down slightly from the $1.4 million she received the prior year.

HSN Appoints Mitchell Hara Senior Vice President Of Corporate Strategy

HSN Monday named Mitchell Hara senior vice president of corporate strategy, a newly created position, effective immediately.

He will report directly to HSN chief financial officer Judy Schmeling.

In his new position, Hara will assist with the overall corporate strategy, identifying and developing new strategic initiatives and leading the strategic planning process for HSN. He will also evaluate and oversee potential strategic partnerships and transactions.

“Mitch’s 20 years of investment banking and capital markets experience, as well as his deep knowledge of the retail sector make him a great addition to our team,” Schmeling said in a canned statement. “We look forward to working with him to maximize HSNi’s growth opportunities.”

Hara has experience in the retail and e-commerce sectors and a strong expertise in M&A, leveraged finance and equity capital markets. Prior to joining HSN, Hara was a managing director of mergers and acquisitions at Peter J. Solomon Company. Previously, he led the Specialty Retail Practice at Citigroup Global Markets.

In addition, he has held similar positions at Merrill Lynch & Co., Wasserstein Perella & Co. and Citibank, N.A.

Hara holds a Bachelor of Science Degree in Finance from Syracuse University and a Masters in Business Administration from the Harvard Graduate School of Business.

HSN Dispatches Bigwigs To ‘Fireside Chats’ At Two Investor Conferences

HSN will be sending honchos to two coming investor conferences, it said Thursday, for “fireside chats.”

HSN CEO Mindy Grossman will participate in the Lazard Capital Markets Technology and Media Conference in Boston on March 14 at 11:30 a.m.

HSN chief financial officer Judy Schmeling will participate in the ROTH Capital Partners 23rd Annual OC Growth Stock Conference in Laguna Niguel, Calif., on March 16 at 9:30 a.m.

The format of both sessions will be a “Fireside Chat,” according to HSN’s press release. That’s a new one on us.

The Homeshoppingista Gets A Peek At HSN’s New Manhattan Penthouse Offices, And We Meet Mindy

Artist Michael Vollbracht, who created a clothing line for HSN, did four paintings for its New York offices that feature a flower motif from one of his scarves for the home shopping network

We got to visit HSN’s spanking new offices in Manhattan, and they are some pretty stylish, should we say swank, digs.

HSN had off-the-record meetings with the press Thursday, us included. HSN EVP of programming, marketing and business development Bill Brand invited us in.

Brand is a broadcast/cable veteran who got his programming chops at local TV stations, as well as both VH1 — working for Jeff Gaspin, who is now chairman of NBC Universal Television Entertainment — and at Lifetime Television.

Brand was hired by HSN CEO Mindy Grossman shortly after she arrived at the home shopping channel to shake it up.

We can’t tell you the content of what Brand told us about HSN’s plans (as we said, it was off the record, and if anyone else writes it, we’re coming after Bill). We’d love to relate what Brand had to say about the second network that HSN is launching, the just-announced HSN2. But we can’t. But Brand said we could blog about the new offices.

Just a few weeks ago the No. 2 home shopping network moved its Big Apple staff from the quarters of the channel’s former owner, Barry Diller’s IAC, to a building on 55th Street, right off Madison Avenue. The building, across the street from the legendary Friar’s Club, is being renovated. The construction permits were in the lobby window.

Brand got programming experience under now-NBC honcho Jeff Gaspin

HSN’s corporate headquarters and TV studios remain in steamy St. Petersburg, Fla., land of the large flying water bugs and hair-frizzing humidity. That’s why we no likey Florida.

But HSN has always had some staff in New York City, and the airy new space with the Madison Avenue address (even though the entrance is on 55th) will serve as a fine venue for the network to host product previews for the press and to meet with its growing list of Manhattan designers and vendors, people like the red-carpet Badgley Mischka team and Iman.

HSN’s got the building’s penthouse duplex, with a great view of the city and a huge terrace.

The space is wide open, and everything is white. There is some artwork on the walls. Four paintings by artist Michael Vollbacht, who has done a clothing collection for HSN, hang near the entrance of the penthouse. But furniture and other decorations are still being brought in.

As we chatted with Brand, HSN CEO Mindy Grossman stopped by. It’s the first time we met her, and she was very gracious, not mentioning the times we’ve poked fun at her (describing her as “cleavage-baring” and all that) in this blog. She’s obviously a pro who knows how the game is played. Any press is good press.

We know we shouldn’t comment on an executive’s appearance (it’s sexist, some would say) but Grossman is striking looking. She has great style and was dressed all in black, the Manhattan uniform. She was wearing great jewelry, including two huge cuffs from Iman’s Global Chic HSN line.

Brand also introduced us to HSN chief financial officer Judy Schmeling, who is always on the network’s earnings calls. Most of the top executives at HSN are women, not middle-aged white men, as is typical in most of corporate America.

After a lot of chatter and a very quick, but delicious lunch, we were ushered out as the next group of reporters was coming in for their HSN meet-and-greet.

Our only regret is that we didn’t grab a few blondies to eat on the DeCamp bus back to Montclair.

HSN will release its first quarter earnings May 5 before the market opens, the company said Wednesday.

HSN CEO Mindy Grossman Saw Compensation Halved In 2009, To $4.1 Million From $8 Million

HSN CEO Mindy Grossman saw her compensation cut in half in 2009, but don’t feel too sorry for her.

She made $4.1 million last year, which we could manage to live on, compared with $8 million the prior year, according to the home shopping network’s proxy statement.

Executive compensation is on page 35.

Last year go-getter Grossman’s base salary was the same as in 2008, a cool $1 million. And she got a tidy bonus in 2009, $1.9 million, almost four times her $500,000 bonus in 2008.

But Grossman didn’t get any stock awards last year, and she got 1.3 million in stock awards in 2008.

She also tallied 1 million stock appreciation rights and option awards last year, only a fifth of the 5 million she received in 2008.

Nike vet Grossman also received $96,500 in other compensation, including $86,000 for housing and $7,400 for a car.

HSN chief financial officer and executive vice president Judy Schmeling did better than Grossman, in that her compensation in 2009 was about even with 2008. She got $1,049,993, just a hair less than her $1,101,111 in 2008.

Schmeling’s salary was $500,000 last year, versus $420,000 in 2008. Her 2009 bonus was almost triple her bonus in 2008, $444,500 versus $150,000. Then there was various stock rights.

Barbara Lynne Ronon, HSN’s executive vice president of merchandising, saw her compensation increase in 2009, to $996,149 from $783,551. Ronon’s base pay was $475,000 in 2009 and 2008.

But her bonus in 2009 was $410,400, a huge increase from $90,000 in 2008.

HSN To Participate At Telsey Advisory Group’s Consumer Conference

HSN will take part in the Telsey Advisory Group’s 2nd Annual Consumer Conference in New York City April 15, the home shopping network said Tuesday.
